Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 5, 2008, Sara Grootwassink notified Washington Real Estate Investment Trust (“WRIT”) of her intent to resign as Chief Financial Officer. Ms. Grootwassink was recently married and will be relocating to the West Coast. She and WRIT are currently discussing transition details. The effective date of her resignation and the term of a transition period have not yet been determined.
