On May 16, 2012, Ellomay Capital Ltd. (the “Company”) issued a press release announcing that the 2012 annual meeting of its shareholders will be held on Wednesday, June 20, 2012. The text of the notice of the annual meeting of shareholders and proxy statement to be mailed to the shareholders entitled to vote at the shareholders’ meeting is attached hereto as Exhibit 2. A form of the proxy card solicited by the Company’s board of directors is attached hereto as Exhibit 3.
