As previously reported in the Company’s Form 20-F for the year ended December 31, 2004, Julius Heywinkel GmbH (“Heywinkel”), a former supplier and manufacturer of consumables for NUR Media Solutions S.A., a subsidiary of the Company (“NUR Media Solutions”), filed a suit against NUR Media Solutions in the Regional Court of Osnabrück, Germany claiming that NUR Media Solutions owed penalties as a result of NUR Media Solutions’ alleged failure to purchase certain minimum quantities prescribed under an agreement between NUR Media Solutions and Heywinkel.

The Regional Court has ordered NUR Media Solutions to pay Heywinkel an aggregate amount of €1.2 million representing penalties and accrued interest. NUR Media Solutions plans to file an appeal of the Regional Court’s decision in the High Regional Court (Oberlandesgericht) in Oldenburg, Germany. NUR Media Solutions had previously recorded a reserve of approximately €0.5 million, which reserve is reflected in the Company’s consolidated financial statements for the year ended December 31, 2004. As a result of the Regional Court’s ruling, NUR Media Solutions will evaluate whether to reserve additional funds with respect to this matter.
