Transparency notification – NextGrid Holding SA/NV

1. Summary of the notification

Pursuant to Article 14 of the law of 2 May 2007 on the disclosure of large shareholdings, Elia Group SA/NV announces that has received a transparency notification dated 24 March 2025 from NextGrid Holding SA/NV (having its registered offices at Ravensteingalerij 4, box 2, 1000 Brussels).

NextGrid Holding SA/NV has notified that, following an acquisition of Elia Group shares with voting rights, its shareholding in Elia Group has crossed the 40%-threshold on 20 March 2025.

On 20 March 2025, NextGrid Holding SA/NV owned 32 931 025 Elia Group shares with voting rights, representing 44.79% of the total number of shares issued by the company (73 521 823).

• Chain of controlled undertakings through which the holding is effectively held:

Publi-T owns the majority of the shares of NextGrid Holding SA/NV and is the sole controlling shareholder. No natural or legal person has ultimate control over Publi-T CV/SC.

• Additional information: The action in concert as mentioned in the transparency notification of 09/01/2017 between Publi-T CV and Belfius Verzekeringen NV (indirectly controlled by the Federale Participatie- en Investeringsmaatschappij NV) ceased to exist on 30 January 2023 at the latest.
