Subject: Continuous disclosure - Divestment in Compressed Air Solutions of Texas (CAST) by Elgi Compressors USA Inc, wholly owned subsidiary of the Company. NSE Scrip Code : ELGIEQUIP / BSE Scrip Code : 522074

This is with regard to the disclosure made to the stock exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), on September 26, 2024, where the Company had intimated that the Company’s wholly owned subsidiary i.e., Elgi Compressors USA Inc (Elgi USA), in its Board Meeting held on September 25, 2024, at 7.30 AM EST had decided to divest its entire stake held in its Joint Venture - Compressed Air Solutions of Texas LLC (CAST), USA, to the existing joint venture partner.

The formalities under the operating agreement and the actual closure were expected to be completed by October 31, 2024. However, the date of closure is extended due to unavoidable circumstances. The Company will effect a disclosure in accordance with SEBI Regulations as soon as the transaction is consummated.
