In terms of provisions of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that the Board of Directors of Company vide their Circular Resolution passed today, has inter-alia approved the following:

1. Payment of Commission to the Non-Executive Directors of the Company of an amount not exceeding 1% of the net profits of the Company for each financial year, subject to the approval of the shareholders of the Company through Postal Ballot.

2. Based on the recommendation of Nomination and Remuneration Committee, approved the appointment of Mr. Gaurav Gupta as Chief Information Officer, Senior Management Personnel of the Company with effect from August 12, 2024.

We are enclosing herewith the brief details of the aforesaid changes as prescribed under SEBI Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated July 13, 2023, as Annexure A . Further, it is also informed that any change in the date of appointment will be communicated to the stock exchanges in due course.

1. Approved the Postal Ballot Notice to obtain the approval of the shareholders for payment of commission to the non-executive directors of the Company. The Postal Ballot notice will be intimated to the stock exchange in due course.

Brief Profile	Mr. Gaurav Gupta is a seasoned leader in IT & Digital space with rich and diverse experience covering multiple aspects like - setting up of Global Capability Centers, Digital Hubs, Intelligent Automation, Data Analytics frameworks, and Governance. He has partnered with key business operations and functions (HR, Sales, Finance, Procurement etc.), driving strategic alliances and partnerships. He is part of NASSCOM Regional Council and Global CIO/CDO/GCC Heads Network. He started his career in sales with Ashok Leyland where he was responsible for growth and channel management. Post his MBA from SCMHRD - Pune, he has been progressively taking up leadership responsibilities at IT major Wipro Technologies and global FMCG leader Unilever. He comes with global exposure of having enabled businesses in multiple geographies - India, UK, and France. At Unilever, he has been into multiple leadership roles in managing Digital & Supplier agenda; and managing the Site Strategy. He has been responsible for the technology framework and applications through Technology 2.0 vision and platform strategy with large IT budgets. Mr. Gaurav Gupta partnered with various functions like customer development, finance, supply chain, marketing and R&D and led business critical global and regional IT enterprise systems & transformation projects and has positively enabled the organization to achieve their goals.
