CERTIFIED TRUE COPY OF THE RESOLUTION PASSED BY THE BOARD OF DIRECTORS OF THE COMPANY AT THEIR MEETING HELD ON 08/11/2019

Approval for resignation of the Company Secretary and Compliance Officer of the Company.

RESOLVED THAT the resignation of Mrs. Vaishnavi PM from the position of Company Secretary and Compliance officer of the Company be and is hereby accepted and she shall be relieved from the said responsibilities on the closing business hours of 15/11/2019.

RESOLVED FURTHER THAT Mr. Shyam Vasudevan, Vice President Legal & Secretarial of the Company be and is hereby appointed as Compliance officer of the Company under Regulation 6 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, till 26/11/2019 i.e., until such time the new Company Secretary and Compliance Officer is appointed.

RESOLVED FURTHER THAT Mr. Ragunathan Gunabooshanam, Chief Financial Officer and Mr. Shyam Vasudevan, VP Legal & Secretarial, be and is hereby severally authorized to intimate to the Stock exchanges, Ministry of Corporate Affairs and other applicable statutory authorities if any about the change.
