Todi (PG), 22 gennaio 2026 - ELES S.p.A. (la "Società" o "Eles") PMI innovativa quotata su Euronext Growth Milan e fornitore mondiale disoluzioni per il test dei dispositivi a semiconduttore (IC Integrated Circuits) con applicazioni Safety e Mission Critical, comunica che in data 22 gennaio 2026 si è chiuso il periodo di esercizio straordinario dei "Warrant Eles 2019-2026", codice ISIN IT0005374258 (i "Warrant"), ricompreso tra il 9 e il 22 gennaio 2026.

Nel corso di detto periodo, sono stati esercitati n. 1.704.186 Warrant e conseguentemente sottoscritte al prezzo di Euro 2,20 per azione (nel rapporto di n. 1 azione ordinaria ogni n. 2 Warrant presentanti per l'esercizio) n. 852.093 azioni ordinarie Eles di nuova emissione, prive dell'indicazione del valore nominale, aventi godimento regolare e le medesime caratteristiche delle azioni ordinarie Eles in circolazione alla data di emissione (le "Azioni di Compendio"), per un controvalore complessivo pari a Euro 1.874.604,60.

Ai sensi del Regolamento dei "Warrant ELES 2019-2026" (il "Regolamento Warrant"), l'emissione e la messa a disposizione, per il tramite di Monte Titoli S.p.A., delle Azioni di Compendio sottoscritte dai titolari di Warrant durante il periodo di esercizio avrà luogo il giorno di liquidazione successivo al termine dell'ultimo giorno del periodo di esercizio stesso.

La Società provvederà a pubblicare il comunicato di variazione del capitale sociale a seguito del deposito di avvenuta esecuzione dell'aumento di capitale presso il Registro delle Imprese nei termini di legge.

CLOSED THE EXTRAORDINARY PERIOD OF THE "ELES 2019-2026 WARRANTS"

EXERCISED N. 1,704,186 "ELES 2019-2026 WARRANTS" AND SUBSCRIBED N. 852,093 NEWLY ISSUED ORDINARY SHARES AT A PRICE OF EUROS 2.20 EACH FOR A TOTAL OF EUROS 1,874,604.60

Todi (PG), January 22, 2025 - ELES S.p.A. (the "Company" or "Eles") innovative SME listed on Euronext Growth Milan and worldwide provider of semiconductor device (IC Integrated Circuits) test solutions with Safety and Mission Critical applications, announces that today closed the extraordinary exercise period of the "Eles Warrants 2019-2026" ISIN code IT0005374258 (the "Warrants"), included between January 9 and January 22, 2026.

During said period, n. 1,704,186 Warrants were exercised and consequently subscribed at the price of Euro 2.20 per share (in the ratio of no. 1 ordinary share for every n. 2 Warrants presented for exercise) n. 852,093 newly issued Eles ordinary shares, with no nominal value indication, having regular dividend entitlement and the same characteristics as the Eles ordinary shares in circulation on the issue date (the "Conversion Shares"), for a total amount of Euros 1,874,604.60.

Pursuant to the Regulations of the "ELES 2019-2026 Warrants, ("Warrant Regulation") the issuance and making available, through Monte Titoli S.p.A., of the Conversion Shares subscribed by the Warrant Holders during the exercise period will take place on the settlement day following the end of the last day of the exercise period itself.

The Company will publish the notice of change in share capital following the filing of capital increase with the Companies Registry within the terms of the law.
