COMUNICAZIONE DI CAMBIAMENTO SOSTANZIALE DEGLI AZIONISTI SIGNIFICATIVI AI SENSI DELL'ART. 15 DELLO STATUTO SOCIALE E DELL'ART. 17 DEL REGOLAMENTO EMITTENTI EURONEXT GROWTH MILAN
Todi (PG), 24 marzo 2026 – ELES S.p.A. (la “Società”), società con strumenti finanziari negoziati su Euronext Growth Milan e fornitore mondiale di soluzioni per il test dei dispositivi a semiconduttore (IC – Integrated Circuits) con applicazioni Safety e Mission Critical, rende noto di aver ricevuto, ai sensi dell’art. 15 dello statuto sociale della Società e dell’art. 17 del Regolamento Emittenti Euronext Growth Milan, in data 23 marzo 2026, la comunicazione con la quale Xenon Private Equity VIII SCA SICAV-RAIF (“Xenon”), gestita da Xenon AIFM SA, anche per conto di ETopCo S.p.A. (società controllata direttamente) e EBidCo S.r.l. (società controllata indirettamente per il tramite di ETopCo S.p.A.) ha comunicato, in ragione delle operazioni di acquisto effettuate nel contesto dell’offerta pubblica di acquisto volontaria totalitaria promossa da EbidCo S.r.l. (l’“Offerta”) e ad esito della riapertura dei termini della stessa, il cui regolamento è avvenuto in data 20 marzo 2026, di aver superato la soglia di rilevanza del 90% del capitale sociale di Eles e di detenere complessivamente, direttamente e/o indirettamente, n. 18.324.002 azioni ordinarie, pari al 91,342% del capitale sociale; in particolare, n. 3.209.453 azioni ordinarie, pari al 15,998% del capitale sociale per il tramite di ETopCo S.p.A. e n. 15.114.549 azioni ordinarie, pari al 75,344% del capitale sociale per il tramite di EbidCo S.r.l..
Pertanto, alla luce di quanto precede, la Società comunica che, dalle ultime risultanze in suo possesso, il proprio azionariato risulta composto come segue:

La strategia di Eles prevede, oltre ad una crescita per linee interne tramite la penetrazione in nuovi mercati, l'ulteriore diversificazione della clientela e il miglioramento delle soluzioni già offerte ai clienti, una crescita per linee esterne mediante acquisizioni funzionali ad un più veloce sviluppo commerciale nei Paesi esteri.

NOTIFICATION OF SUBSTANTIAL CHANGE IN SIGNIFICANT SHAREHOLDERS PURSUANT TO ARTICLE 15 OF THE ARTICLES OF ASSOCIATION AND ARTICLE 17 OF THE EURONEXT GROWTH MILAN ISSUERS REGULATIONS
Todi (PG), March 24, 2026 – ELES S.p.A. (the “Company”), ”), an innovative SME with financial instruments traded on Euronext Growth Milan and global operator in the design and sale of testing solutions for semiconductor devices (integrated circuits – ICs) with Safety and Mission Critical applications, announces that, it has received, pursuant to Article 15 of the Company's Articles of Association and Article 17 of the Euronext Growth Milan Issuers' Regulations, on March 20, 2026, notification that Xenon Private Equity VIII SCA SICAV-RAIF ('Xenon'), managed by Xenon AIFM SA, also on behalf of ETopCo S.p.A. (directly controlled company) and EBidCo S.r.l. (indirectly controlled company through ETopCo S.p.A.), had notified it, as a result of the purchase transactions carried out in the context of the voluntary public tender offer promoted by EbidCo S.r.l. (the ‘Offer’), and following the extension of the deadline which was settled on March 20, 2026, that it had exceeded the 90% threshold of Eles' share capital and that it held a total of 18,324,002 ordinary shares, equal to 91.342% of the share capital, directly and/or indirectly; specifically, 3,209,453 ordinary shares, equal to 15.998% of the share capital, through ETopCo S.p.A., and 15,114,549 ordinary shares, equal to 75.344% of the share capital, through EbidCo S.r.l..
Therefore, in light of the above, the Company announces that, based on the latest information in its possession, its shareholding structure is as follows:
