COMUNICAZIONE DI CAMBIAMENTO SOSTANZIALE DEGLI AZIONISTI SIGNIFICATIVI AI SENSI DELL'ART. 15 DELLO STATUTO SOCIALE E DELL'ART. 17 DEL REGOLAMENTO EMITTENTI EURONEXT GROWTH MILAN
Todi (PG), 10 marzo 2026 – ELES S.p.A. (la “Società”), società con strumenti finanziari negoziati su Euronext Growth Milan e fornitore mondiale di soluzioni per il test dei dispositivi a semiconduttore (IC – Integrated Circuits) con applicazioni Safety e Mission Critical, rende noto di aver ricevuto, ai sensi dell’art. 15 dello statuto sociale della Società e dell’art. 17 del Regolamento Emittenti Euronext Growth Milan, in data 6 marzo 2026, la comunicazione con la quale Xenon Private Equity VIII SCA SICAV-RAIF (“Xenon”), gestita da Xenon AIFM SA, anche per conto di ETopCo S.p.A. (società controllata direttamente) e EBidCo S.r.l. (società controllata indirettamente per il tramite di ETopCo S.p.A.) ha comunicato, in ragione delle operazioni di acquisto effettuate nel contesto dell’offerta pubblica di acquisto volontaria totalitaria promossa da EbidCo S.r.l. (l’“Offerta”) il cui regolamento è avvenuto in data 6 marzo 2026, di aver superato la soglia di rilevanza del 30% del capitale sociale di Eles e di detenere complessivamente, direttamente e/o indirettamente, n. 8.507.002 azioni ordinarie, pari al 42,405% del capitale sociale; in particolare, n. 3.209.453 azioni ordinarie, pari al 15,998% del capitale sociale per il tramite di ETopCo S.p.A. e n. 5.297.549 azioni ordinarie, pari al 26,407% del capitale sociale per il tramite di EbidCo S.r.l..
Inoltre, la Società rende noto di aver ricevuto in data 9 marzo 2026 la comunicazione con la quale Antonio Zaffarami e Francesca Zaffarami hanno comunicato la riduzione sotto la soglia di rilevanza del 5% del capitale sociale della Società per effetto (i) del conferimento di n. 3.209.453 azioni ordinarie di Eles (di cui n. 3.124.918 azioni di competenza di Antonio Zaffarami e n. 84.535 azioni di competenza di Francesca Zaffarami) in ETopCo S.p.A. al fine di sottoscrivere il relativo aumento di capitale, e (ii) della vendita all’Offerente di complessive n. 1.127.645 azioni ordinarie di Eles (di cui n. 1.097.944 azioni da Antonio Zaffarami e n. 29.701 azioni da Francesca Zaffarami). Francesca Zaffarami è rimasta titolare delle n. 588.472 azioni a voto plurimo, le quali sono state oggetto di patti parasociali tra la stessa e Xenon.
In ultimo, la Società rende note di aver ricevuto (i) in data 9 marzo 2026, la comunicazione con la quale Carla Franceschin ha reso noto di aver ridotto la propria partecipazione al di sotto della soglia di rilevanza del 5% del capitale sociale della Società per effetto dell’adesione all’Offerta e, in particolare, di non detenere più alcuna azione ordinaria della Società; e (ii) in data 10 marzo 2026, la comunicazione con la quale NextStage AM ha reso noto di aver ridotto la propria partecipazione al di sotto della medesima soglia del 5% del capitale sociale della Società, anch’essa per effetto dell’adesione all’Offerta, dichiarando di non detenere più alcuna azione ordinaria della Società.

NOTIFICATION OF SUBSTANTIAL CHANGE IN SIGNIFICANT SHAREHOLDERS PURSUANT TO ARTICLE 15 OF THE ARTICLES OF ASSOCIATION AND ARTICLE 17 OF THE EURONEXT GROWTH MILAN ISSUERS REGULATIONS
Todi (PG), March 10, 2026 – ELES S.p.A. (the “Company”), ”), an innovative SME with financial instruments traded on Euronext Growth Milan and global operator in the design and sale of testing solutions for semiconductor devices (integrated circuits – ICs) with Safety and Mission Critical applications, announces that, it has received, pursuant to Article 15 of the Company's Articles of Association and Article 17 of the Euronext Growth Milan Issuers' Regulations, on 6 March 2026, notification that Xenon Private Equity VIII SCA SICAV-RAIF ('Xenon'), managed by Xenon AIFM SA, also on behalf of ETopCo S.p.A. (directly controlled company) and EBidCo S.r.l. (indirectly controlled company through ETopCo S.p.A.), had notified it, as a result of the purchase transactions carried out in the context of the voluntary public tender offer promoted by EbidCo S.r.l. (the 'Offer'), which was settled on 6 March 2026, that it had exceeded the 30% threshold of Eles' share capital and that it held a total of 8,507,002 ordinary shares, equal to 42.405% of the share capital, directly and/or indirectly; specifically, 3,209,453 ordinary shares, equal to 15.998% of the share capital, through ETopCo S.p.A., and 5,297,549 ordinary shares, equal to 26.407% of the share capital, through EbidCo S.r.l..
Furthermore, the Company announces that on March 9, 2026 it received notification from Antonio Zaffarami and Francesca Zaffarami that their shareholding in the Company had fallen below the 5% threshold as a result of (i) the transfer of 3,209,453 ordinary shares in Eles (of which 3,124,918 shares belong to Antonio Zaffarami and 84,535 shares belong to Francesca Zaffarami) to ETopCo S.p.A. in order to subscribe to the related capital increase, and (ii) the sale to the Offeror of a total of 1,127,645 ordinary shares of Eles (of which 1,097,944 shares from Antonio Zaffarami and 29,701 shares from Francesca Zaffarami). Francesca Zaffarami remained the owner of 588,472 multiple voting shares, which were subject to shareholders' agreements between her and Xenon.
Finally, the Company announces that it has received (i) on March 9, 2026, the communication in which Carla Franceschin announced that she had reduced her shareholding below the 5% threshold of the Company's share capital as a result of accepting the Offer and, in particular, that she no longer holds any ordinary shares in the Company; and (ii) on March 10, 2026, the communication in which NextStage AM announced that it had reduced its stake below the same threshold of 5% of the Company's share capital,
