Elementos Limited - Notice of Status of Defeating Conditions

We refer to the off market takeover bid made by Elementos Limited (Elementos) for all of the ordinary shares on issue in Rockwell Minerals Limited (Rockwell) (Offer).

On behalf of Elementos, we enclose the notice in relation to the Offer which has today been given to Rockwell under Section 650(F) of the Corporations Act 2001 (Cth).

The Offer is now unconditional and Elementos has resolved to complete the contracts that have been formed by the acceptance of the Offer.

Notice freeing offer from conditions under section 650F of the Corporations Act 2001 (Cth) (Act)

Elementos Limited ( Elementos ) has made offers under an off-market takeover bid for all the ordinary shares in Rockwell Minerals Limited ( Offers ). The Offers are contained in Elementos' Bidder's Statement dated 7 August 2013 ( Bidder's Statement ). The Offers are subject to the defeating conditions set out in Section 16 of the Bidder's Statement.

In accordance with Section 650F of the Act, Elementos gives notice that:

• a) the Offer and the contracts formed by acceptance of any of those Offers, are free from the conditions set out in Section 16.4 (no prescribed occurrences) of the Bidders Statement;

• b) it has now freed the Offer and any contracts formed by acceptance of those Offers from all defeating conditions set out in Section 16 of the Bidders Statement; and

• c) as far as Elementos is aware, at the time of giving this notice, Elementos' voting power in Rockwell (being its relevant interest in Rockwell’s shares) is 98.7%.
