Issue of Shares

Further to the previous announcements by UDG Healthcare plc ("the Company") on 21 October 2016 and 23 November 2016, the Company confirms the issue of 723,775 ordinary shares of nominal value of €0.05 each in the Company as part of the final instalment of deferred consideration relating to the acquisition of STEM Marketing Limited which took place on 21 October 2016. The shares were issued at £6.604, the average daily mid-market share price of the Company over the 15 business days post 21 October 2016.

Application has been made for the new ordinary shares to be admitted to the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities.  Admission is expected to take place on or around 28 November 2019. The new ordinary shares rank pari passu in all respects with the existing ordinary shares in the Company.
