05.04.2024 tarihli açıklamamız ile, Eczacıbaşı Monrol Nükleer Ürünler Sanayi ve Ticaret Anonim Şirketi'nin ödenmiş sermayesindeki %50'lik payımızın Curium International Trading B.V. tarafından satın alınmasına ilişkin bir Pay Devir Sözleşmesi imzalandığı, 08.08.2024 tarihli açıklamada ise anılan işlemle ilgili ön koşullar arasında yer alan Rekabet Kurulu izni konusunda yapılan değerlendirmeler sonucunda, Rekabet Kurulu tarafından ilgili işlemin 4054 sayılı Rekabetin Korunması Hakkında Kanun'un (Kanun) 10. maddesinin birinci fıkrası uyarınca nihai incelemeye alınmasına karar verildiği ve sürecin devam ettiği kamuya duyurulmuştur.

Bu defa Rekabet Kurulu tarafından yürütülen nihai incelemenin altı aylık süresinin sona ereceği 27.01.2025 tarihinde tamamlanamayacağı anlaşıldığından, Kanun'un 43. maddesi uyarınca söz konusu nihai inceleme süresinin 27.01.2025 tarihinden itibaren altı ay uzatılmasına karar verildiği bilgisi Şirketimize iletilmiştir. Bu kapsamda süreç devam etmekte olup, konuyla ilgili gelişmeler Sermaye Piyasası Mevzuatı çerçevesinde yatırımcılarımız ile paylaşılacaktır.

With our announcement dated 5 April 2024, it was disclosed that a Share Purchase Agreement was signed for the acquisition of our 50% share in Eczacıbaşı Monrol Nuclear Products Industry and Trade Inc. by Curium International Trading B.V. In the announcement dated 8 August 2024, it was further disclosed that, following the assessments regarding the Turkish Competition Authority's approval, which is among the preconditions for the transaction, the relevant transaction was decided to be subject to a final review in accordance with Article 10, Paragraph 1 of Law No. 4054 on the Protection of Competition, and the process is ongoing by the Turkish Competition Authority.

It has now been understood that the final review conducted by the Turkish Competition Authority will not be completed by 27 January 27 2025, the end of its six-month period. Accordingly, it has been communicated to our company that, pursuant to Article 43 of Law No. 4054 on the Protection of Competition, the final review period will be extended by six months starting from 27 January 2025. In this context, the process is ongoing, and developments will be shared with our investors in accordance with the Capital Markets Legislation.
