	Sub: Information received from the Promoter Group regarding Composite Scheme ofMerger and Arrangement consisting of Promoter Group of Companies.

Dear Sir,

This is with reference to the captioned subject and on the basis of intimation received from Aakaaish Investments Private Limited (Transferee Company/Resulting Company) (one of the Promoter Group Company), received on Monday, November 07, 2022, we wish to inform you that the composite scheme of merger and arrangement (“ Scheme ”) consisting demerger of Demerged Undertakings of Emtici Engineering Limited, Akaaish Mechatronics Limited, Wizard Fincap Limited, Speciality Wood Pack Private Limited, Prayas Engineering Limited, Elecon Information Technology Limited and Elecon Peripherals Limited (collectively referred to as “ Demerged Companies ”); and merger of Devkishan Investments Private Limited and Bipra Investments and Trusts Private Limited (collectively referred to as “ Transferor Companies ”) into/with Aakaaish Investments Private Limited (collectively referred to as “ Resulting Company ” or “ Transferee Company ”) is approved by the National Company Law Tribunal, Ahmedabad Bench vide by an order dated November 02, 2022 (certified copy of said Order dated November 04, 2022) in accordance with Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.

Upon the Scheme becoming effective based on the conditions as mentioned in the Scheme, all assets and liabilities of the Demerged Undertakings of the respective Demerged Companies and all assets and liabilities of the Transferor Companies will be transferred to and vested with the Resulting Company / Transferee Company being Aakaaish Investments Private Limited. Pursuant to such transfers, the shareholding of Eimco Elecon (India) Limited held by Demerged Companies and Transferor Companies aggregating to 24.91% will be transferred to Aakaaish Investments Private Limited (Resulting Company / Transferee Company).

The Demerged Companies except Wizard Fincap Limited, Speciality Wood Pack Private Limited and Elecon Peripherals Limited, Transferor Companies and Resulting Company / Transferee Company are disclosed as Promoter Group of the Company.

Please note that the aggregate holding of the promoter and promoter group in the Company, either in number or percentage, before and after the scheme, will remain same i.e. 74.06%.
