RedHill Education Limited
RedHill reiterates REJECT and TAKE NO ACTION following extension of UCW’s Offer
RedHill Education Limited ("RedHill" or “the Company”) (ASX:RDH) notes that UCW Limited ("UCW") (ASX:UCW) has today further extended its all-scrip takeover offer for the Company (“Offer”) until 5:00pm (Sydney time) on Friday, 14 May 2021, unless withdrawn or further extended in accordance with the Corporation Act 2001 (Cth). This further extension will allow those RedHill shareholders who have accepted the Offer a month to withdraw their acceptance if they wish.
RedHill’s Board of Directors continue to unanimously recommend that shareholders REJECT UCW’s Offer and TAKE NO ACTION .
RedHill confirms that its Board of Directors are engaged in meaningful discussions with UCW’s Board of Directors. However, it notes that there is no agreement in place and no certainty that these discussions will result in a transaction.
RedHill will continue to keep shareholders informed of any material developments in relation to the Offer, including any revisions. The RedHill Board is committed to acting in the best interests of all shareholders and to maximising RedHill shareholder value.
