IL CONSIGLIO DI AMMINISTRAZIONE DI EDISON APPROVA L'OFFERTA DI HELLENIQ PER LA CESSIONE DEL 50% DETENUTO IN ELPEDISON

Milano - Atene, 9 Dicembre 2024 - Edison comunica che il Consiglio di Amministrazione, riunitosi lo scorso 6 dicembre, ha accettato l'offerta di HELLENiQ Energy Holdings S.A. (Helleniq) per la cessione del 50% della propria partecipazione in ELPEDISON BV a Helleniq Energy Holdings SA, che detiene, unitamente alla controllata Helleniq Energy International GMBH, la restante quota del 50% della società.

Le parti, al fine di perseguire le proprie strategie di crescita, hanno concordato di sciogliere la joint-venture 50/50 in ELPEDISON, società di diritto olandese e titolare dell'intero capitale della società greca Elpedison SA (Elpedison). L'offerta di acquisto di Helleniq, ricevuta il 22 novembre 2024, riconosce un valore fino a €195m per il 50% dell'equity di ELPEDISON BV, che corrisponde a circa €540m di Enterprise Value.

Il completamento dell'operazione è soggetto alla firma del contratto di acquisto definitivo tra i due partner e all'approvazione delle competenti autorità regolatorie.

Elpedison gestisce due centrali elettriche a gas naturale a Thisvi e Salonicco, con una capacità totale di 820 MW, è uno dei principali operatori del mercato del gas in Grecia, e serve circa 350.000 clienti finali.

EDISON'S BOARD OF DIRECTORS ACCEPTED THE OFFER OF HELLENIQ FOR THE SALE OF ITS 50% STAKE IN ELPEDISON

Milan - Athens, 9 December 2024 - Edison announces that the Board of Directors that met on December 6 has approved HELLENiQ Energy Holdings S.A. offer (Helleniq) for the sale of 50% of its stake in ELPEDISON BV to Helleniq Energy Holdings SA which holds, together with the subsidiary Helleniq Energy International GMBH, the remaining shares of the joint-venture.

The parties, in order to pursue their respective growth strategies, agreed to terminate the 50/50 joint-venture in ELPEDISON, a company incorporated under Dutch law and owner of the entire capital of the Greek company Elpedison SA (Elpedison). Helleniq's offer of up to €195m for 50% of the equity is equivalent to c.€540m for 100% of the Enterprise Value.

Completion of the transfer is subject to the signing of the final purchase agreement between the two partners and to the approval of the relevant regulatory authorities.
