Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 10, 2014, Edison International announced that Robert L. Adler, Edison International's Executive Vice President and General Counsel, intends to retire effective on or about January 2, 2015.

Also on October 10, 2014, Edison International announced the election of Adam S. Umanoff as Executive Vice President and General Counsel, effective upon Mr. Adler’s retirement. Mr. Umanoff is a partner in the law firm of Akin Gump Strauss Hauer & Feld LLP.
