NOTICE UNDER SECTION 708A(5)(e) CORPORATIONS ACT 2001

On 9 February 2007, Eden Energy Ltd ("the Company") issued 11,556,429 fully paid ordinary shares ("the Shares").

The Shares are in a class of securities quoted on the Australian Stock Exchange Limited.

The Company gives this notice pursuant to section $708A(5)(e)$ of the Corporations Act.

The Company issued the Shares without disclosure to investors under Part 6D of the Corporations Act.

The Company, as at the date of this notice, has complied with:

the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and $(a)$

section 674 of the Corporations Act. $(b)$

As at the date of this notice, there is no excluded information for the purposes of sections 708A(7) and (8) of the Corporations Act.
