AUSTRALIAN SECURITIES EXCHANGE ANNOUNCEMENT

PRO-RATA NON-RENOUNCEABLE RIGHTS ISSUE

The non-renounceable pro-rata rights offer ( Offer ) made to shareholders of Eden Energy Ltd ( Eden ) who were on the register as at 5:00pm WST on 10 September 2012 pursuant to an offer document dated 30 August 2012 ( Offer Document ) which closed on 28 September 2012.

Eden gives notice of the shortfall subscriptions for the Offer as follows:

The above figures are subject to none of the subscription proceeds received by cheque being dishonoured between the time of this announcement and the allotment and issue of New Shares.

In addition to the acceptances detailed above, the Offer is partially underwritten as to 166,666,667 new Shares and Eden therefore expects that, of the shortfall, 166,666,667 new Shares (having a value of $1,500,000) will be issued to the underwriters in accordance with the underwriting agreements referred to in the Offer Document. Eden reserved the right in the Offer Document to place any shortfall shares within three months after the closing date of the Offer at a price which is not less than the price at which the Shares were offered under the Offer.

Accordingly upon completion of the issuing of all the Shares and the underwritten shares, the total value raised will be $2,666,348.73 (before the payment of the expenses of the issue).
