EDDY SMART HOME SOLUTIONS LTD. NOTICE OF CHANGE OF AUDITOR

TO: MNP LLP AND TO: KPMG LLP AND TO: British Columbia Securities Commission Alberta Securities Commission Ontario Securities Commission

Eddy Smart Home Solutions Ltd. (the “ Company ”) hereby delivers the following notice in accordance with Section 4.11 of National Instrument 51-102 – Continuous Disclosure Obligations ( “NI 51-102 ”):

1. On September 13, 2023, KPMG LLP (the “ Former Auditor ”) resigned on its own initiative by notifying the Company that it will not stand for re-appointment as the Company’s auditor for the year ending December 31, 2023.

2. MNP LLP (the “ Successor Auditor ”) has been appointed as the new auditors of the Company effective October 16[th] , 2023 at the annual and special meeting of shareholders of the Company on October 16[th] , 2023 (the “ Meeting ”).

3. The resignation of the Former Auditor has been considered and accepted by the board of directors of the Company. The proposed appointment of the Successor Auditor at the Meeting was considered and accepted by the board of directors of the Company.

4. There were no modifications of opinion by the Former Auditor in the Auditors’ Reports of the two most recently completed fiscal years ended December 31, 2022 and 2021. There have been no further audits of financial statements subsequent to the Company’s most recently completed fiscal year and ending on the date of the Former Auditor’s resignation.

5. There are no “reportable events”, as defined in NI 51-102.
