Edda Wind ASA – Mandatory notification of trade and disclosure of shareholdings

Reference is made to announcement of 29 April 2025 by Geveran Trading Co Ltd ("Geveran"), Wilhelmsen New Energy AS ("WNE") and EPS Ventures Ltd ("EPS") (the "Shareholders") regarding an unconditional mandatory cash offer (the “Offer”) to acquire all outstanding shares (the “Shares”) in Edda Wind ASA (the “Company” or “Edda Wind”) not already owned by them, such Offer to be made by Electric AS (the “Offeror”), a company jointly owned by the Shareholders.

The Offeror has on 26 May 2025 acquired from the Shareholders a total of 106,217,662 shares of Edda Wind at a price of NOK 23.00 per share (40,125,100 shares from Geveran, 40,113,400 shares from WNE and 25,979,162 shares from EPS). Following this, the Shareholders do not directly hold any shares of Edda Wind while the Offeror holds 123,147,663 shares, representing 95.2% of the outstanding shares and votes in the Company.
