Edda Wind ASA – Mandatory notification of trade

8 May 2025: Reference is made to announcement of 29 April 2025 by Geveran Trading Co Ltd, Wilhelmsen New Energy AS and EPS Ventures Ltd (the "Shareholders") regarding an unconditional mandatory cash offer (the “Offer”) to acquire all outstanding shares (the “Shares”) in Edda Wind ASA (the “Company” or “Edda Wind”) not already owned by them, such Offer to be made by Electric AS (the “Offeror”), a company jointly owned by the Shareholders.

The Offeror has on 7 May 2025 acquired 67,018 shares of Edda Wind at an average price of NOK 22.99 per share. Following this, the Offeror holds 16,070,000 shares, representing approximately 12.4% of the outstanding shares and votes in the Company. Together, the Offeror and the Shareholders control 122,287,662 shares, representing approximately 94.6% of the outstanding shares and votes in the Company.
