Edda Wind ASA – Mandatory notification of trade and disclosure of shareholding

29 April 2025: Reference is made to announcement of 29 April 2025 by Geveran Trading Co Ltd, Wilhelmsen New Energy AS and EPS Ventures Ltd (the "Shareholders") regarding an unconditional mandatory cash offer (the “Offer”) to acquire all outstanding shares (the “Shares”) in Edda Wind ASA (the “Company” or “Edda Wind”) not already owned by them, such Offer to be made by Electric AS (the “Offeror”), a company jointly owned by the Shareholders.

The Offeror has today acquired 7,709,828 shares of Edda Wind at an average price of NOK 22.889 per share. Following this, the Offeror holds 10,480,864 shares, representing approximately 8.1% of the outstanding shares and votes in the Company. Together, the Offeror and the Shareholders control 116,698,526 shares, representing approximately 90.2% of the outstanding shares and votes in the Company.
