Disclosure of large shareholdings

Reference is made to the stock exchange announcement on 6 March 2023 by Edda Wind ASA (the "Company"), regarding the completed issuance of 6,431,448 new shares in connection with Tranche 1 of the Private Placement as announced by the Company on 2 March 2023.

As a result of the registration of the share capital increase on 6 March 2023, the following disclosure of large shareholdings are being made:

• Wilhelmsen New Energy AS’ ownership in the Company has decreased from 25.66% to 23.32% of the issued share capital and votes. Prior to the completion of the Private Placement, Wilhelmsen New Energy AS owns 16,500,000 shares in the Company both before and after the registration of the above-mentioned share capital increase, and the passing of the 25% threshold is thus a result of the dilutive effect of the share capital increase in the Company.

• EPS Ventures Ltd.’s ownership in the Company has decreased from 10.71% to 9.74% of the issued share capital and votes. Prior to the completion of the Private Placement, EPS Ventures Ltd. owns 6,888,331 shares in the Company both before and after the above-mentioned registration of the share capital increase, and the passing of the 10% threshold is thus a result of the dilutive effect of the share capital increase in the Company.

• Østensjø Wind AS’ ownership in the Company has decreased from 25.66% to 23.32% of the issued share capital and votes. Prior to the completion of the Private Placement, Østensjø Wind AS owns 16,500,000 shares in the Company both before and after the above-mentioned registration of the share capital increase, and the passing of the 25% threshold is thus a result of the dilutive effect of the share capital increase in the Company.

Wilhelmsen New Energy AS, EPS Ventures Ltd., and Østensjø Wind AS have been allocated 12,000,000, 11,000,000 and 4,800,000, respectively, New Shares in Tranche 2 of the Private Placement, cf. the Company’s stock exchange announcement of 2 March 2023. Completion of Tranche 2 is subject to approval by an extraordinary general meeting, scheduled for 24 March 2023.
