The Board of Directors of Mobi Ltd (‘Mobi’ or ‘the Company’) is pleased to announce that it has completed the acquisition of NSW based phone system and communication specialist AK Communications (Australia) Pty Ltd (‘AKC’ or ‘AK Communications’).
The Company has completed thorough due diligence on AKC and was satisfied with the review of the business.
As announced to the ASX on December 14 (2007), 30% of the overall consideration is tied to actual performance of AKC post acquisition. It should also be noted that the share consideration was calculated at a premium to today’s share price (based on 12.5 cent share price).
Mobi CEO, Michael Abela commented, “the acquisition strengthens both Mobi’s future earnings capacity and direct geographic coverage.” He continues, “the purchase of AKC is consistent with our goal of acquiring cash and earnings positive businesses.”
Mobi has issued 10,960,000 shares and paid $130,000 cash in consideration for AKC. An additional 4,800,000 shares will be paid when AK Communications reaches $500,000 earnings (EBIT) over 12 months.
The management of AK Communications is locked into employment and 80% of the script is to be held in voluntary escrow for at least 12 months.

By agreeing to be purchased by Mobi I am demonstrating both my confidence in Mobi’s future as well as my team’s ability to contribute to that future success.”
