ecotel communication ag / Closing Tiscali Nacamar GmbH

After fulfillment of all closing conditions, Tiscali S.p.A. and ecotel
communication ag closed their deal of 4 February 2007, pursuant to which
ecotel acquired all shares in Tiscali Nacamar GmbH. Tiscali Nacamar GmbH
represents all of Tiscali's former German B2B business. '

About ecotel communication ag:

ecotel is a German telecommunications service provider focused on the small
and medium sized business segment. It offers voice and data services as
well as access services.

In its core division 'Business Customers' the company provides voice,
data-, value-added services as well as access lines in line with attractive
bundles. The acquisition of Tiscali Nacamar GmbH enables ecotel to offer
professional data services such as the secure and reliable interconnection
of company sites. Furthermore, ecotel now owns a national backbone network
as well as a data center in Frankfurt. Meanwhile the company has more than
37.000 business customers.

In its second division 'Resale' the company provides telecoms carrier
services to other telecoms operators and non-industry distributors as well
as wholesale services. In addition, ecotel operates a state-of-the-art
Wholesale platform for the inter company trade of telephony minutes with
over 70 national and international carriers and broadens its value chain
for the core business 'business customers'.

ecotel was founded in 1998 and is headquartered in Düsseldorf. At present,
the group has 210 employees. It is among the fastest growing technology
companies and was ranked 8th and 38th in 2005 and 2006 in the Deloitte
'Technology Fast 50' competition.
