ECOMEMBRANE S.P.A.: AVVIO DEL PROGRAMMA DI ACQUISTO AZIONI PROPRIE

Gadesco Pieve Delmona (CR), 16 Ottobre 2024 – Ecomembrane S.p.A., (ISIN IT0005543332), Società leader nella progettazione e realizzazione di sistemi di stoccaggio e di contenimento dei gas per la produzione di energia verde, quotata sul segmento EGM di Borsa Italiana S.p.A., annuncia l'avvio del programma di acquisto di azioni proprie ai sensi della normativa vigente (ivi incluso il Regolamento (UE) 596/2014 e le relative disposizioni attuative) e del Regolamento Emittenti Euronext Growth Milan (il "Programma"), facendo seguito a quanto comunicato al mercato in data 23 Aprile 2024 in seguito delle deliberazioni assunte dall'Assemblea ordinaria tenutasi nella medesima data (l'"Assemblea").

Finalità del programma

La finalità del Programma è di:

dotare la Società di un portafoglio di azioni proprie da destinare a servizio di operazioni coerenti con le linee di sviluppo strategiche in vista o nell'ambito di accordi con partner strategici;
dotarsi di un portafoglio di azioni proprie da assegnare ai propri dipendenti o membri dell'organo amministrativo;
sostenere la liquidità del titolo sul mercato, fermo restando in ogni caso il rispetto delle disposizioni vigenti.

Importo massimo in denaro allocato al programma

Il Programma ha ad oggetto l'acquisto di una prima tranche di azioni del controvalore non superiore a Euro 100.000,00 (centomila).

Numero massimo di azioni da acquistare

Il controvalore massimo del Programma, per complessivi Euro 100.000,00 (centomila), non comporterà, ai prezzi attuali e nell'ipotesi in cui fosse integralmente utilizzato, l'acquisto di un quantitativo di azioni proprie eccedente il 10% del capitale sociale pro tempore, tenuto conto delle azioni proprie detenute dalla Società e dalle società da essa controllate, nel rispetto di tutti i limiti di legge. Alla data odierna, Ecomembrane non detiene azioni proprie in portafoglio.

Durata del programma

Il Programma avrà decorrenza dal 28 Ottobre 2024 al 31 Gennaio 2025.

Modalità attraverso le quali gli acquisti potranno essere effettuati

In conformità a quanto autorizzato dall'Assemblea e nel limite del controvalore di Euro 100.000,00 (centomila) sopra citato, l'acquisto delle azioni potrà avvenire, in una o più volte, garantendo la

parità di trattamento tra gli azionisti e secondo modalità che non consentano l'abbinamento diretto delle proposte di negoziazione in acquisto con predeterminate proposte di negoziazione in vendita.

Il prezzo d'acquisto sarà realizzato in conformità con le disposizioni regolamentari applicabili e stabilito di volta in volta, per ciascuna giornata di operatività, come segue: (i) il corrispettivo unitario per l'acquisto delle azioni sarà stabilito di volta in volta per ciascuna operazione, avuto riguardo alla modalità prescelta ma, in ogni caso, le azioni potranno essere acquistate ad un corrispettivo che non sia superiore al prezzo più elevato tra il prezzo dell'ultima operazione indipendente e il prezzo dell'offerta indipendente più elevata corrente nelle sedi di negoziazione dove viene effettuato l'acquisto, fermo restando che il corrispettivo unitario non potrà comunque essere inferiore nel minimo del 15% e superiore nel massimo del 15% rispetto al prezzo di riferimento che il titolo avrà registrato nella seduta di mercato del giorno precedente ogni singola operazione; (ii) il limite di corrispettivo in caso di acquisto non troverà applicazione qualora sul mercato si verifichino circostanze di carattere straordinari.

Ai fini dell'attuazione del Programma, la Società opererà attraverso un intermediario specializzato e, a tale fine, ha conferito specifico incarico a Equita Sim S.p.A., già Specialist di Ecomembrane. In particolare, l'intermediario incaricato di coordinare ed eseguire le operazioni su azioni proprie opererà in piena indipendenza dalla Società, adottando tutte le decisioni in merito alla negoziazione delle azioni, anche con riguardo ai tempi in cui effettuare l'acquisto delle azioni, nel rispetto di quanto previsto dalla normativa applicabile e conformandosi, anche al di fuori dei casi di esenzione, alle condizioni di cui ai paragrafi nn. 2 e 3 dell'art. 3 del Regolamento Delegato (UE) 1052/2016.

Eventuali successive modifiche al Programma verranno tempestivamente comunicate al mercato dalla Società nei modi e nei termini di leggi e regolamenti applicabili.

La Società terrà aggiornato il mercato sullo stato di avanzamento del Programma in conformità alle leggi e ai regolamenti applicabili.

ECOMEMBRANE S.P.A.: LAUNCH OF THE SHARE BUYBACK PROGRAM

Gadesco Pieve Delmona (CR), 16 October 2024 –Ecomembrane S.p.A., (ISIN IT0005543332), leader in the design and creation of gas storage and containment systems for the production of green energy, listed on the EGM segment of Borsa Italiana S.p.A., announces the launch of the share buyback program in accordance with current regulations (including Regulation (EU) 596/2014 and its implementing provisions) and the Euronext Growth Milan Issuers' Regulations (the "Program"), following the announcement to the market on April 23, 2024 as a result of the resolutions passed by the Ordinary Shareholders' Meeting held on the same date (the "Shareholders' Meeting").

Purpose of the Program

The purpose of the Program is to:

to equip the Company with a portfolio of treasury shares with which to service transactions consistent with the Company's strategic development, in view of or within the context of agreements with strategic partners;
to equip itself with a portfolio of treasury shares to assign to its employees or members of the administrative body;
to support the liquidity of the stock on the market, subject in all cases to compliance with current regulations.

Maximum cash amount allocated to the program

The purpose of the Program is to purchase a first tranche of shares with a countervalue not exceeding Euro 100,000.00 (one hundred thousand).

Maximum number of shares to be purchased

The maximum countervalue of the Program, totalling Euro 100,000.00 (one hundred thousand), will not entail, at current prices and assuming that it is fully utilized, the purchase of a quantity of treasury shares in excess of 10% of the pro tempore share capital, taking into account the treasury shares held by the Company and its subsidiaries, in compliance with all legal limits. As of today's date, Ecomembrane has no treasury shares in its portfolio.

Program Duration

The Program will run from October 28, 2024 to January 31, 2025.

Modalities through which purchases may be made

In accordance with what has been authorized by the Shareholders' Meeting and within the limit of the above-mentioned countervalue of Euro 100,000.00 (one hundred thousand), the purchase of shares may be carried out, on one or more occasions, guaranteeing equal treatment among shareholders and in a manner that does not allow the direct matching of trading proposals for purchase with predetermined trading proposals for sale.

The purchase price will be determined in accordance with applicable regulatory provisions and established from time to time, for each trading day, as follows: (i) the unit price for the purchase of the shares shall be established from time to time for each transaction, having regard to the chosen method but, in any case, the shares may be purchased at a price no higher than that of the last independent transaction or that of the highest current independent bid on the trading places where the purchase is made, whichever is the higher, on the understanding that the unit price may not in any case be more than 15% lower nor more than 15% higher than the reference price that the stock will have recorded in the market session on the day prior to each individual transaction; (ii) the price limit in the event of a purchase will not apply if extraordinary circumstances occur on the market.

For the purposes of implementing the Program, the Company will operate through a specialized intermediary and, to this end, has specifically appointed Equita Sim S.p.A., also Ecomembrane's Specialist. In particular, the intermediary in charge of coordinating and executing transactions on treasury shares will operate in full independence from the Company, taking all decisions regarding the trading of the shares, also with regard to the timing in which to carry out the purchase of the shares, in compliance with the provisions of the applicable regulations and complying, also outside the cases of exemption, with the conditions set forth in paragraphs no. 2 and 3 of Article 3 of Delegated Regulation (EU) 1052/2016.

Any subsequent amendments to the Program will be promptly communicated to the market by the Company in the manner and terms of applicable laws and regulations.

The Company will keep the market updated on the progress of the Program in accordance with applicable laws and regulations.

Information about Ecomembrane

Ecomembrane S.p.A., with registered office in Gadesco Pieve Delmona (Cremona) and North Little Rock (Arkansas, USA), has been operating in the renewable energies and biogas sector since 2000 and is managed by its Founder and CEO, Lorenzo Spedini.
