SBS SOLAR CEDE I DIRITTI PER LA COSTRUZIONE E L'ESERCIZIO DI UN IMPIANTO FOTOVOLTAICO PER UN IMPORTO PARI A CIRCA EURO 700 MILA E SOTTOSCRIVE UN IMPEGNO PER LA REALIZZAZIONE DEL SUDDETTO IMPIANTO PER UN IMPORTO PARI A CIRCA EURO 3,6 MILIONI
Gadesco Pieve Delmona, 23 dicembre 2025 – Ecomembrane S.p.A. ("Ecomembrane" o la "Società", ISIN IT0005543332), società leader nella progettazione e realizzazione di sistemi di stoccaggio e di contenimento dei gas per la produzione di energia verde, quotata sul segmento EGM di Borsa Italiana S.p.A., rende noto che la controllata SBS Solar S.r.l. (di seguito anche "SBS") ha ceduto alla Lograto Solare S.r.l., veicolo di investimento nel settore delle energie rinnovabili, tutti i permessi, le autorizzazioni e i rapporti contrattuali in suo possesso necessari per la realizzazione e l'esercizio di un impianto fotovoltaico di potenza compresa tra 5-10 MWp, in provincia di Brescia, per un importo pari a circa Euro 700 mila (oltre IVA). Contestualmente le Parti si sono impegnate a stipulare, entro e non oltre il 30 giugno 2026, un contratto d'appalto per la realizzazione del suddetto impianto per un importo pari a circa Euro 3,6 milioni.
L'impegno di SBS ad eseguire le opere ha validità fino al 31 dicembre 2026 ed è subordinato (i) all'inizio dei lavori entro 12 mesi dalla data di pubblicazione sul BURL del titolo autorizzativo del progetto e (ii) alla partecipazione di Lograto Solare S.r.l. a procedure per l'accesso a misure agevolative e/o incentivanti secondo talune modalità, e con eventuale revisione prezzo di taluni beni e materiali, concordati tra le parti.

SBS SOLAR TRANSFERS THE RIGHTS FOR THE CONSTRUCTION AND OPERATION OF A PHOTOVOLTAIC PLANT FOR AN AMOUNT OF APPROXIMATELY €700,000 AND SIGNS A COMMITMENT FOR THE CONSTRUCTION OF THE AFOREMENTIONED PLANT FOR AN AMOUNT OF APPROXIMATELY €3.6 MILLION
Gadesco Pieve Delmona, 23 December 2025 – Ecomembrane S.p.A. (hereafter "Ecomembrane" or the "Company", ISIN IT0005543332), leading company in the design and construction of gas storage and containment systems for the production of green energy, listed on the EGM segment of Borsa Italiana S.p.A., announces that its subsidiary SBS Solar S.r.l. (hereinafter also referred to as "SBS") has transferred to Lograto Solare S.r.l., an investment vehicle in the renewable energy sector, all the permits, authorizations, and contractual relationships in its possession necessary for the construction and operation of a photovoltaic plant with a capacity between 5-10 MWp, in the province of Brescia, for an amount of approximately €700,000 (plus VAT). At the same time, the parties have undertaken to enter into a contract for the construction of the aforementioned plant for approximately €3.6 million by June 30, 2026.
SBS's commitment to carry out the works is valid until December 31, 2026, and is subject to (i) the start of works within 12 months of the date of publication in the BURL of the project authorization title and (ii) the participation of Lograto Solare S.r.l. in procedures for access to subsidies and/or incentives according to certain procedures, and with a possible price revision of certain goods and materials, agreed between the parties.
