ECOMEMBRANE S.P.A. ASSEMBLEA ORDINARIA DEGLI AZIONISTI APPROVA IL BILANCIO D'ESERCIZIO AL 31 DICEMBRE 2024

Gadesco Pieve Delmona (CR), 15 aprile 2025 – L'Assemblea Ordinaria degli Azionisti di Ecomembrane S.p.A. (di seguito "Ecomembrane" o la "Società", ISIN IT0005543332),riunitasi in data odierna, ha approvato il bilancio di esercizio chiuso al 31 dicembre 2024 nei termini proposti dal Consiglio di Amministrazione già resi pubblici lo scorso 14 marzo 2025.

L'Assemblea ha, inoltre, preso atto del bilancio consolidato di Ecomembrane al 31 dicembre 2024, che ha evidenziato un utile netto di Euro 436.145, di cui Euro 165.425 di pertinenza del Gruppo e Euro 270.720 di pertinenza dei terzi.

Copia del bilancio di esercizio al 31 dicembre 2024 e del bilancio consolidato di Ecomembrane al 31 dicembre 2024 sono a disposizione del pubblico presso la sede legale in Gadesco Pieve Delmona (CR), Via Pari Opportunità 9 e sul sito internet della Società www.ecomembrane.com, sezione Investor Relations.

Preso atto del bilancio d'esercizio, l'Assemblea ha deliberato di coprire la perdita di esercizio 2024, pari ad Euro 228.610, mediante l'utilizzo della riserva legale.

Da ultimo, preso atto che con l'approvazione del bilancio di esercizio al 31 dicembre 2024 è venuto a scadere l'incarico di revisione legale dei conti conferito alla società di revisione BDO Italia S.p.A., l'Assemblea ha deliberato, sulla base della proposta motivata del Collegio Sindacale ai sensi della normativa vigente, di conferire l'incarico di revisione legale dei conti per gli esercizi 2025, 2026 e 2027 alla medesima società di revisione BDO Italia S.p.A.

ECOMEMBRANE S.P.A. ORDINARY SHAREHOLDERS' MEETING APPROVES ANNUAL FINANCIAL STATEMENTS AS AT 31 DECEMBER 2024

Gadesco Pieve Delmona (CR), 15 April 2025 – The Ordinary Shareholders' Meeting of Ecomembrane S.p.A. (hereinafter "Ecomembrane" or the "Company", ISIN IT0005543332), which met today, approved the financial statements for the year ending 31 December 2024, as proposed by the Board of Directors and published on 14 March 2025.

The Shareholders' Meeting also took note of Ecomembrane's consolidated financial statements as at 31 December 2024, which showed a net profit of 436,145 euros, of which 165,425 euros are attributable to the Group and 270,720 euros are attributable to minority interests.

Copies of the financial statements as at 31 December 2024 and of the consolidated financial statements of Ecomembrane as at 31 December 2024 are available to the public at the Company's registered office in Gadesco Pieve Delmona (CR), Via Pari Opportunità 9, and on the Company's website www.ecomembrane.com, Investor Relations section.

Having acknowledged the financial statements for the year, the Shareholders' Meeting resolved to cover the 2024 fiscal year loss of 228,610 euros by the use of the legal reserve.

Lastly, noting that with the approval of the financial statements as of December 31, 2024, the engagement of the statutory auditor BDO Italia S.p.A. expired, the Shareholders' Meeting resolved, based on the reasoned proposal of the Board of Auditors in accordance with current regulations, to appoint the same independent auditors BDO Italia S.p.A. as the statutory auditor for the financial years 2025, 2026 and 2027.
