Item 1.01 Entry into a Material Definitive Agreement .

Effective June 1, 2006, Ecolab Inc. entered into an Amended and Restated Multicurrency Credit Agreement, which amended the preceding form of such agreement by, among other things, (i) deleting the financial covenant in Section 5.03, (ii) increasing the lien basket from $75 million to $100 million in Section 5.02(a), (iii) extending the term from August 13, 2009 to June 1, 2011, and (iv) changing the pricing grid for fees under Section 2.04 and interest under Section 2.07.

A copy of the Amended and Restated Multicurrency Credit Agreement in connection with this report under Item 1.01 is attached as Exhibit (10) and incorporated herein by reference.
