Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers .

(b) On April 7, 2020, Ecolab Inc. (the “Company”) announced that Jill S. Wyant, Executive Vice President and President – Global Regions, has been appointed to the position of Executive Vice President, Innovation and Transformation and Jérôme Charton, who is currently serving as Executive Vice President and President, Western Europe of the Company, has been appointed to succeed Ms. Wyant as Executive Vice President and President – Global Regions. The effective date of these changes is April 15, 2020.
