(b) Resignation of a Director

Mr. James J. Howard, a director of Ecolab Inc. (the “Company”) since 1991, retired from the Board on February 27, 2006 under the Company’s age 70 retirement policy for directors. As a result of Mr. Howard’s retirement, the Board determined that the Board size would be decreased from 13 to 12 directors.

Joel W. Johnson, a director since 1996, has been appointed by the Board to replace Mr. Howard as Chair of the Audit Committee.

A copy of the press release issued by the Company announcing the retirement of Mr. Howard is filed as Exhibit (99) to this Form 8-K.
