Price Waterhouse Chartered Accountants LLP (Firm Registration Number: 012754N/N500016) , as Statutory Auditors of the Company as approved by Board of Directors at its meeting held on Wednesday, March 13, 2024.

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), we wish to inform that the shareholders of the Company at the 24[th] Annual General Meeting (“AGM”) held on Thursday, September 19, 2024 have inter-alia , considered and approved the appointment of M/s. Price Waterhouse Chartered Accountants LLP (Firm Registration Number: 012754N/N500016), as the Statutory Auditors of the Company, for the first term of 5 (Five) consecutive years i.e. from the conclusion of the 24[th] AGM upto the conclusion of the 29[th] AGM in place of the retiring Statutory Auditors, M/s. S.R. Batliboi & Associates LLP (Firm Registration No. 101049W/E300004), whose term expired at the conclusion of the 24[th] AGM.

M/s. Price Waterhouse Chartered Accountants LLP, have confirmed their eligibility for appointment as Statutory Auditors. The disclosure pursuant to Regulation 30 of (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 is enclosed herewith.

This disclosure and the voting results along with the scrutinizers report for the resolutions passed in the AGM has been intimated to the BSE and NSE and also available on the website of the Company at www.eclerx.com.
