Report Content Subject:Closing of thetransaction relating tocreation of a jointventure relating to the development of student housing facilities

With reference to the information published incurrent report No. 11/2024, the Management Board of Echo Investment S.A.(the "Issuer")hereby informs that on 15 April 2024 the transaction contemplated underthe conditional agreements concerning the development of student housingprojects in Poland (the _quot;Project_quot;), which were concluded on6 March 2024 by the Issuer, Signal Alpha 3 R1 S._#224; r.l. (_quot;Signal_quot;)and a company controlled by the Issuer and Signal through which theIssuer and Signal intend to carry out the Project - Signal Alpha 3 C2S._#224; r.l. (the "JVCo"and the "Transaction"),was completed. Closing of the Transaction took place after the Presidentof the Office of Competition and Consumer Protection (Prezes UrzęduOchrony Konkurencji i_#160;Konsumentów) granted its consent forthe concentration, upon which the closing of the Transaction wasconditional, through, inter alia, concluding the share purchaseagreement for the sale of shares in JVCo corresponding to 30% of theshare capital of JVCo by Signal to the Issuer.Afterclosing of the Transaction, the Issuer is entitled to a 30% profit sharein the JVCo.

As a result of the satisfaction of the abovecondition and the closing of the Transaction, the following agreementsentered into force:

(a)_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;the shareholders' agreement between theIssuer, Signal andJVCo regulating thecorporate governance principles of the JVCo;

(b)_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;theframeworkagreement between the Issuer, Signal and JVCo regulating theimplementation of the Project.
