Update Regarding Application for Admission

EARNZ plc (AIM: EARN), an energy services company whose objective is to capitalise on the drive for global decarbonisation, announces that further to the Result of Placing announcement on 9 August 2024 and the Admission Document published on the same day, the application to trading on AIM for the Re-Admission of the Existing Ordinary Shares and the VCT and EIS Placing Shares and for the Admission of the Initial Consideration Shares, Bob Holt Loan Conversion Shares and the non-EIS and VCT Placing Shares will total 102,206,397, previously announced as 103,848,187.

This will comprise 62,879,828 Existing Ordinary Shares, 20,798,491 EIS and VCT Ordinary Shares, 11,975,119 Initial Consideration Shares and Bob Holt Loan Conversion Shares (previously announced as 13,616,909) and 6,552,959 Non-EIS and VCT Placing Shares.

Re-admission of the Existing Ordinary Shares and admission of the New Ordinary Shares are conditional, inter alia, upon shareholder approval which will be sought at a general meeting due to be held on 27 August 2024.
