Result of General Meeting, and

Total Voting Rights

EARNZ plc (AIM: EARN), an energy services company whose objective is to capitalise on the drive for global decarbonisation, is pleased to announce that all resolutions put to Shareholders at the General Meeting held earlier today were duly passed and admission to trading on AIM of the EIS and VCT Placing Shares will occur on or around 8:00a.m. on  28 August 2024.

Unless the context provides otherwise, capitalised terms used in this announcement have the meanings given to them in the announcement of the proposed fundraising released on 8 August 2024.

Total Voting Rights

For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules, the Company's total issued share capital from First Admission, on 28 August 2024, will consist of 83,678,319 ordinary shares of 4p each, with one voting right per share. There are no shares held in treasury.

The total number of voting rights in the Company is therefore 83,678,319. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
