Eam Solar AS: Last day of the subscription period

Reference is made to the previous stock exchange announcements published by EAM Solar AS (the "Company") regarding the rights issue of up to 20 000 000 new shares in the Company (the "Offer Shares"), at a subscription price of NOK 1.0 per Offer Share, to raise gross proceeds of NOK 20 million (the "Rights Issue").

The subscription period for the Rights Issue (the "Subscription Period") expires today, 20 October 2025, at 16:30 hours (CEST).

Subscriptions for Offer Shares must be made within the expiry of the Subscription Period and may either be made through the VPS online subscription system or by submitting a correctly completed subscription form to Norne Securities AS (the "Settlement Agent").

Subscription rights that are not used to subscribe for Offer Shares before the expiry of the Subscription Period will have no value and will lapse without compensation to the holder.

The Rights Issue is conditional upon that the company raises at least NOK 7,649,740 in gross proceeds. If the condition mentioned above is not be fulfilled, the Rights Issue will not be completed. Furthermore, the Rights Issue may be withdrawn, or the implementation of the Rights Issue may be delayed, if the total subscription amount for the Offer Shares is not received by the Company in time or at all.

If the Rights Issue is not completed, all Subscription Rights will lapse without value, any subscriptions for, and allocations of, Offer Shares that have been made will be disregarded and any payments for Offer Shares that have been made will be returned to the subscribers without interest or other compensation. The lapse of Subscription Rights will be without affecting the validity of any trades in Subscription Rights, and investors will not receive any refund or compensation with respect to Subscription Rights purchased in the market.
