PROSPECTUS APPROVED AND NEW SHARE CAPITAL REGISTERED

Reference is made to the stock exchange notice published by EAM Solar ASA (the

"Company") on 20 January 2014 regarding the completed private placement of

2,750,000 new shares (the "New Shares") at a subscription price of NOK 80.00

(the "Private Placement").

The Financial Supervisory Authority of Norway has today approved the prospectus

dated 24 January 2014 in connection with the listing of the New Shares. The

Prospectus will be made available on the Company's and the Managers' web page

and business offices.

Furthermore, the share capital increase has now been registered with the

Norwegian Register of Business Enterprises ("Foretaksregisteret"). The Company's

share capital is NOK 50,700,000 divided into 5,070,000 ordinary shares each with

a par value of NOK 10.
