CONSENT of QUALIFIED PERSON

I, Damian Bransby-Williams, pursuant to section 8.3 of National Instrument 43-101- Standards for Disclosure of Mineral Projects, consent to the public filing of the technical report titled "NI 43-101 Technical Report Preliminary Economic Assessment Clearwater Lithium Project" dated December 21, 2020, with an Amended date of September 17, 2021 {the "Technical Report") by E3 Metals Corp.

I have read the document and confirm that it fairly and accurately represents the information in the technical report in sections 21 and 22, which I am responsible for as a Qualified Person.

The undersigned also consents to the use of extracts from, or a summary of, the technical report in news releases or other E3 Metals Corp disclosure.
