Sub: Postal Ballot Notice - Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Dear Sir/Madam,

In continuation of our earlier announcement dated February 25, 2021 and February 26, 2021, please find enclosed a copy of the Postal Ballot Notice dated February 25, 2021 together with the Explanatory Statement thereto, seeking approval of the members of the Company for following items, by means of electronic voting (remote e-voting) in accordance with the relevant circulars issued by the Ministry of Corporate Affairs and the Securities & Exchange Board of India:-

1. Approval of E2E Networks Limited Employee Stock Option Scheme – 2021;
1. To approve acquisition of equity shares by way of secondary acquisition under E2E Networks Limited Employees Stock Option Scheme – 2021; and
1. Provision of money by the company for purchase of its own shares by the trust / trustees for the benefit of employees under E2E Networks Limited Employees Stock Option Scheme – 2021.

The Company will commence dispatch of the Postal Ballot Notice by email on Tuesday, March 02, 2021 to all its shareholders whose names appear on the Register of Members/List of Beneficial Owners as received from the Depositories, National Securities Depository Limited ( “NSDL” ) / Central Depository Services (India) Limited ( “CDSL” ) on Friday, February 26, 2021 (hereinafter called as “Cut-off Date”) and who have registered their email addresses with the company or Depository / Depository Participants and the communication of assent / dissent of the members will only take place through the Remote e-Voting system.

A copy of Postal Ballot Notice is also available on the website of the company i.e. https://www.e2enetworks.com/ and also on the website of Link Intime i.e. https://instavote.linkintime.co.in.

Remote e-Voting will commence from Sunday, March 07, 2021 (9.00 A.M. IST) to Monday, April 5, 2021 (5.00 P.M. IST) and Remote e-Voting shall not be allowed beyond the said date and time.

Result of postal ballot through remote e-voting shall be submitted within 48 hours from the conclusion of the e-voting process to the stock exchange and same will be posted on the
