The news releases dated February 8, 2021 and February 12, 2021 were disseminated through Stockwatch.

The Company has entered into a partnership agreement (the “ Agreement ”) with Daymak International Inc. (“ Daymak ”) for distribution of the Company’s products and collaborative efforts on new products. As per the terms of the Agreement, the Company will issue Daymak warrants to purchase 10,000,000 common shares of the Company at an exercise price of $0.20 per share, subject to a vesting schedule and compliance and rules and policies of the Canadian Securities Exchange.

The Company has completed a non-brokered private placement of units for gross proceeds of $3,000,000 through the issuance of 15,000,000 units (each, a “ Unit ”) of the Company at a price of $0.20 per Unit. Each Unit is composed of one common share (a “ Common Share ”) and one common share purchase warrant, each warrant being exercisable into one Common Share at an exercise price of $0.50 for a period of three years from the issuance date, subject to acceleration, at the Company’s discretion, in the event that the Common Shares trade on the Canadian Securities Exchange above $0.75 for ten consecutive days.
