Annexure-A

S No.	Particulars	Description
1.	Name of the Entity with whom Manufacturing Agreement (“Agreement”) is signed	TS Conductor Corp (TS), a company incorporated and existing under the laws of the United States of America, having its principal place of business at 15282 Newsboy Circle, Huntington Beach, California 92649, United States of America. TS manufactures advanced, high-efficiency power transmission lines using their patented Aluminum Encapsulated Carbon Core (AECC) that can significantly increase grid capacity without requiring new infrastructure. These conductors are lighter, stronger, and reduce line loss by up to 50%.
2.	Area of agreement	Dynamic Cables Limited (DCL) shall use Encapsulated Core supplied by TS or a third Party authorized by TS, for the purpose of Manufacturing High Temperature Low Sag (HTLS) Carbon Core Conductors to be marketed as TS® Conductor in accordance with the terms of the Agreement.
3.	Domestic/International	The Agreement has been entered into for manufacturing of TS® Conductor at the Company’s manufacturing facility situated at India.
4.	Share Exchange Ratio	Not Applicable.
5.	Scope of business operation of Agreement	TS grants to DCL a limited, non-transferable, non-assignable, and non-sublicensable license to use TS Designs and Intellectual Property at the DCL Facility/Plant for the purpose of Manufacturing approved HTLS conductor - TS® Conductor. The Aluminum Encapsulated Composite Core is to be supplied by TS in accordance with the Agreement.
6.	Details of consideration to be paid/received in Agreement	The Company will procure Aluminum Encapsulated Composite Core on an arm’s length basis, on mutually agreed terms on case to case basis to manufacture TS Conductor. The pricing of the core shall be based on prevailing input costs, project type and size, execution timelines, and other techno-commercial factors.
7.	Significant terms and conditions of Agreement	This Agreement is entered for a period of twelve (12) months agreement shall automatically renew for two successive terms of 12 months each subject to mutual consent of the TS and DCL.

8.	Whether the acquisition would fall within related party transactions and whether the promoter/promoter group/ group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at "arm's length"	Not Applicable.
9.	Size of the Entity	TS Conductor Corp is engaged in the business of developing, manufacturing and selling of composite core and composite core conductors for the electric power industry for transmission and distribution cables conductors, including pultrusion of composites, encapsulation of composite core with conforming techniques. The company specializes in developing advanced conductors designed to enhance the capacity and efficiency of electrical transmission and distribution grids. TS is owner of the patented TS conductor technology.
10.	Rationale and benefit expected	Given that HTLS Carbon Core Conductors will play a significant role in improvement of Grid efficiency, it has premium positioning over the conventional ACSR/AAAC conductors. As such, this product is expected to have favourable demand scenario in India, over medium to long term.
The Agreement with TS Conductor Corp is in nature of a strategic and technology alliance to manufacture High Temperature Low Sag HTLS Carbon Core Conductors and under the globally established TS Conductor brand. These Carbon Core Conductors offer a high strength-to-weight ratio, low thermal expansion, and very high ampacity.
The above technology arrangement will enable the DCL to offer products in the fast growing HTLS conductors market and to develop business from entities such as Power Grid, State Transcos, Railways and renewable energy developers.
