Sub: Prior intimation under Regulation 29(1)(d) of the SEBI (LODR) Regulations, 2015 - Fund raising by way of preferential allotment of equity shares of Dynamatic Technologies Limited

Dear Sir / Madam,

In continuation with our prior intimation dated 2 nd February 2023, regarding convening of Board Meeting on Friday, 10 th February 2023, the Board of Directors, in addition to approval of the un-audited Standalone and Consolidated Financial Results for the quarter ended 31 st December 2022, will, interalia, consider a proposal for issuance of equity shares by way of a preferential allotment to investors (other than promoter & promoter group) in accordance with the provisions of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, the Companies Act, 2013, as amended, subject to such regulatory/ statutory approvals as may be required.

The Board would also consider convening an extra-ordinary general meeting / postal ballot process to seek approval of the shareholders in respect of the aforesaid proposal of fund raising, as required.

In accordance with the SEBI (Prohibition of Insider Trading) Regulations, 2015, the Trading Window has already been closed from Sunday, 1st January 2023, and will re-open after 48 hours from the publishing of results of the Company for the quarter ended 31st December 2022. All the insiders are informed to abstain from trading in the Company's shares when the trading window is closed. For definition of insider, please refer SEBI (Prohibition of Insider Trading) Regulations, 2015.
