Dear Sir / Madam,

In compliance with Regulation 30 of the Listing Regulations, the Company’s step-down subsidiary, Dynamatic Limited, UK (DLUK), has informed that a binding offer has been received from a potential buyer to purchase 100 ordinary shares it holds in Yew Tree Investments Limited (YTIL), a 100% wholly owned subsidiary. The offer also includes purchase of land and buildings held by YTIL in Bristol. As per the terms of the offer, the potential buyer wishes to construct and develop residential dwelling units in the said land, and the completion of the sale and purchase of YTIL shares by the potential buyer is subject to the buyer obtaining necessary permissions from local planning authority. The tentative timeframe for completion of the aforesaid transaction is 24 months and in case the buyer fails to get necessary approvals/permissions from the local authorities, then the non-refundable deposit paid by the potential buyer towards consideration of shares shall be retained by the seller.
