• 1. Appointment of Air Chief Marshal V.R. Chaudhari (Retd.) (DIN: 08444323) as an Additional Independent Director (Non-Executive) of the Company for a consecutive period of 5 (Five) years with effect from 23rd December 2025 to 22nd December 2030.
• 1. Appointment of Ms. Shyamala Venkatachalam (DIN: 07691824) as an Additional Independent Director (Non-Executive) of the Company for a consecutive period of 5 (Five) years with effect from 23rd December 2025 to 22nd December 2030.

Profile of Air Chief Marshal V. R. Chaudhari (Retd.)

Air Chief Marshal V. R. Chaudhari (Retd.) is an alumnus of the National Defence Academy (61st Course), the Air Force Academy, and the Defence Services Staff College, Wellington. He was commissioned into the Flying Branch of the Indian Air Force as a fighter pilot on 29 December 1982 and is a Qualified Flying Instructor with over 3,650 hours of accident-free flying. During his early and mid-career, he served in several key instructional and operational roles, including as a member of the first formation aerobatics team on the Kiran Mk-II, Flight Commander of a fighter squadron, and Air Force Examiner on all MiG variants and trainer aircraft.

He took command of a fighter squadron on 17 September 2001 during a period of heightened operational alert and successfully led the unit through Operation Parakram. Despite limited availability of pilots and aircraft, he deployed the squadron across three bases and achieved full operational readiness in record time. Over the course of his operational duties, he flew more than 150 sorties, including day and night ORP missions, demonstrating exceptional leadership and operational competence.

In addition to his command responsibilities, he made significant contributions to the development of tactics for Beyond Visual Range (BVR) Vs BVR missile engagements and UAV interception procedures in coordination with Tactics and Air Combat Development and Training Establishment (TACDE) and enabled Dissimilar Air Combat Training for MiG-21 squadrons, strengthening overall combat effectiveness.

In recognition of his distinguished and exceptional service to the nation, he was awarded the Vayu Sena Medal in 2004, the Ati Vishisht Seva Medal in 2015, and the Param Vishisht Seva Medal in 2021.

With over 22 years of experience in the Media and Entertainment sector, Ms. Shyamala has led legal and regulatory functions for both global and domestic brands, providing strategic guidance across the content value chain and contributing to the evolution of industry regulations and business models. During her earlier tenure of nearly a decade at Dynamatic Technologies Limited, she managed a wide spectrum of corporate matters during India's early phase of economic liberalization, including contracts, intellectual property, finance, and taxation, supporting an entrepreneurial organization engaged in aerospace, hydraulics, and security applications.

Her areas of expertise include strategic legal counsel, regulatory adaptation and futureproofing, complex contract negotiation, risk and compliance management, as well as litigation and arbitration.
