POSTPONEMENT OF EXTRAORDINARY GENERAL MEETING AND EXTENSION OF BOOK CLOSURE PERIOD

References are made to the circular dated April 16, 2025 (the "Original Circular"), the notice dated April 16, 2025 (the "Original Notice"), the supplemental circular dated April 29, 2025 (the "Supplemental Circular") and the supplemental notice dated April 29, 2025 (the "Supplemental Notice") in relation to the 2025 first extraordinary general meeting (the "EGM") of Dynagreen Environmental Protection Group Co., Ltd.* (the "Company"). Unless otherwise indicated, capitalized terms used herein shall have the same meanings as those defined in the Original Circular, the Original Notice, the Supplemental Circular and the Supplemental Notice.

1. POSTPONEMENT OF EGM

In order to give the Shareholders sufficient time to consider the resolutions to be proposed at the EGM and take actions, the Company hereby announces that the EGM originally scheduled to be held at 2:00 p.m. on Friday, May 9, 2025 will be postponed to 2:00 p.m. on Friday, May 16, 2025 (the "Postponed EGM").

The venue of the Postponed EGM will remain unchanged at the 2nd Floor, Jiuzhou Electronic Building, No. 7 Keji South 12th Street, Nanshan District, Shenzhen, the PRC.

2. EXTENSION OF BOOK CLOSURE PERIOD

The H Share register of members of the Company shall be originally closed from Saturday, May 3, 2025 to Friday, May 9, 2025 (both days inclusive), during which period no transfer of H shares will be effected. Due to postponement of the schedule, the last day for closure of the H Share register of members of the Company will be extended from Friday, May 9, 2025 to Friday, May 16, 2025 (the last day inclusive). Holders of H Shares whose names appear on the H Shares register of members on Friday, May 2, 2025 after close of business are entitled to attend and vote at the Postponed EGM.

• PROXY FORMS

Saved for the aforesaid changes, the Original Proxy Form dated April 16, 2025 and the Supplemental Proxy Form dated April 29, 2025 remain unchanged and valid for the postponed EGM. Shareholders who have not deposited the Original Proxy Form or the Supplemental Proxy Form together with any notarized copy of the power of attorney or other authorization documents (if any) shall complete the proxy form(s) in accordance with the instructions printed thereon and deposit at the Company’s H share registrar, Tricor Investor Services Limited (address: 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong) (for H Shareholders) not less than 24 hours before the time appointed for the Postponed EGM (i.e., not later than Thursday, May 15, 2025 at 2:00 p.m. (Hong Kong time) for the Postponed EGM) or the adjourned meeting (as the case may be). For the avoidance of doubt, if a Shareholder has completed and deposited the Original Proxy Form and/or the Supplemental Proxy Form in accordance with the instructions printed thereon, such Original Proxy Form and/or Supplemental Proxy Form will remain valid for the Postponed EGM and such Shareholder needs not re-submit the Original Proxy Form or the Supplemental Proxy Form.

1. REPLY SLIP

Saved for the aforesaid changes, the reply slip of the Company dated April 16, 2025 (the “Reply Slip”) remains unchanged and valid for the Postponed EGM. The deadline for returning the Reply Slip will be extended from Tuesday, April 29, 2025 to Tuesday, May 6, 2025. For the avoidance of doubt, if a Shareholder has completed and returned the Reply Slip in accordance with the instructions printed thereon, such Reply Slip will remain valid for the Postponed EGM and such Shareholders needs not re-submit the Reply Slip.

Save as disclosed above, all other information set out in the Original Circular, the Original Notice, the Supplemental Circular and the Supplemental Notice shall remain unchanged.

As at the date of this announcement, the executive director of the Company is Mr. Hu Shengyong; the non-executive directors of the Company are Mr. Zhao Zhixiong, Mr. Hu Tianhe and Mr. Yan Chunxu; and the independent non-executive directors of the Company are Ms. Ouyang Jiejiao, Mr. Zheng Zhiming and Mr. Zhou Beihai.
