ACQUISITION OF HAZARDOUS WASTES TREATMENT COMPANY

The board of directors of Dynagreen Environmental Protection Group Co., Ltd.* (the ‘‘Company’’) is pleased to announce that, on 14 December 2017, the Company and an independent third party entered in to an equity transfer agreement (the ‘‘Equity Transfer Agreement’’), pursuant to which, the Company shall acquire 80% of the equity interests in Lvyi (Huludao) Environmental Services Limited* (綠益（葫蘆島）環境服務有限公司) (‘‘Lvyi Environmental Services’’) at a consideration of RMB90 million. Lvyi Environmental Services is principally engaged in the treatment of industrial hazardous wastes. Its industrial wastes treatment center project, located in Huludao, Liaoning Province with a designed processing capacity of 92,500 tonnes/year, has been approved by competent authorities and the preparation work is progressing. Upon completion of the acquisition, the Company will include hazardous waste treatment business. The implementation of the acquisition facilitates the Company’s expansion of its scope of solid wastes treatment and the acquisition of new growth opportunities.

As none of the applicable percentage ratio for the transaction contemplated under the Equity Transfer Agreement is more than 5%, the transaction does not constitute a notifiable transaction of the Company under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.
