ANNOUNCEMENT RELATING TO REPLY TO THE FEEDBACK ON THE APPLICATION FILES FOR ISSUANCE OF A SHARE CONVERTIBLE CORPORATE BONDS

Reference is made to (i) the announcement dated 23 July 2021 (the “ Announcement ”) and the circular dated 6 August 2021 (the “ Circular ”) of Dynagreen Environmental Protection Group Co., Ltd. (the “ Company ”) in relation to, among others, the Proposed Issuance of A Share Convertible Corporate Bonds; (ii) the announcement of the Company dated 3 September 2021 in relation to acceptance by the CSRC in respect of the application files for the Proposed Issuance of A Share Convertible Corporate Bonds by the Company; and (iii) the announcement of the Company dated 15 September 2021 in relation to receipt of the Notice on First Feedback on the Review of the Administrative Consent Item from the CSRC (the “ Feedback Notice ”). Unless otherwise stated, the terms used herein shall have the same meanings as defined in the Announcement and the Circular.

According to the requirements of the Feedback Notice, the Company and intermediaries have conducted earnest study on the issues listed in the Feedback Notice and finalized the issues item by item, and now disclose the reply to the feedback publicly as required. Reference is made to the Report on Reply to the Feedback on the Application Files for Public Issuance of Convertible Corporate Bonds by Dynagreen Environmental Protection Group Co., Ltd. disclosed by the Company as an overseas regulatory announcement on the even date. The Company will submit the reply to the feedback to the administrative consent acceptance department of the CSRC within two business days after the abovementioned announcement relating to the report on reply to the feedback.

As the issuance of A Share Convertible Corporate Bonds by the Company is yet subject to authorization from the CSRC and there is uncertainty over the authorization, investors are advised to pay attention to investment risks. The Company will discharge the information disclosure obligations in strict accordance with relevant provisions based on the progress of the approval.
