STATEMENT OF CAPITAL STRUCTURE

The capital structure of The Data Exchange Network Limited (ACN 620 888 548) ( Company ) following admission to quotation of the Company’s shares ( Shares ) on the ASX and the issue of securities pursuant to the prospectus dated 16 February 2018 ( Prospectus ) is set out below.

Notes:

1. Unquoted Options exercisable at $0.30 on or before 30 November 2020.

CONFIRMATION OF CONVERSION OF CONVERTIBLE NOTES

The Convertible Notes on issue as the date of the Prospectus comprised 1,400,000 Ellerston Convertible Notes on the terms and conditions set out in Section 10.9 of the Prospectus and 2,970,000 Investor Convertible Notes on the terms and conditions set out in Section 10.10 of the Prospectus. All Convertible Notes on issue as at the date of the Prospectus have now converted into 27,312,500 Shares and 6,828,125 Options as set out in the capital structure totals above.
