DWF Group plc

Notification of transactions by Directors, Persons Discharging Managerial Responsibilities ("PDMRs") and persons closely associated with them

DWF Group plc (the "Company") announces that the following transactions described in the Company's prospectus dated 11 March 2019 (the "Prospectus") have been entered into:

Prior to Admission (as defined in the Prospectus)

1.       on 13 March 2019, Andrew Leaitherland disposed of ordinary shares in the Company ("Ordinary Shares") by way of gift for nil consideration to his wife, Rachael Leaitherland;

2.         on 13 March 2019, Andrew Leaitherland agreed to transfer Ordinary Shares at 122p per Ordinary Share to  ARL Newco 2019 Limited, a company owned and controlled by Andrew and Rachael Leaitherland;

Following Admission

3.         on 15 March 2019, each of Sir Nigel Knowles, Andrew Leaitherland, Matthew Doughty, Glyn Jones, Stephen Miles, Stefan Paciorek and Jason Ford disposed of Ordinary Shares at 122p per Ordinary Share in the Offer (as defined in the Prospectus);

4.         on 15 March 2019, each of Christopher Stefani and Helen Hill were granted awards over Ordinary Shares as IPO Awards (as defined in the Prospectus);

5.         on 15 March 2019, each of Christopher Sullivan, Vinodka Murria, Luke Savage and Teresa Colaianni acquired Ordinary Shares at 122p per Ordinary Share;

6.         on 18 March 2019 each of Sir Nigel Knowles, Andrew Leaitherland, Matthew Doughty, Glyn Jones, Stephen Miles, Stefan Paciorek and Jason Ford disposed of ordinary shares in the Company by way of gift for nil consideration to the DWF Charitable Foundation.
